The Share Purchase Agreement was signed on December 31, 2025, and the transaction received the approval of the Port of Constanta shareholders on February 12, 2026, representing a milestone in the consolidation of the Danube-Black Sea logistics corridor. <\/p>\n<p>The procurement process started in the spring of the previous year, when the EBRD launched an international tender to identify a strategic investor. The Romanian company submitted its first bid on April 24, 2025, and in mid-July 2025, the Moldovan Council for the Examination of Investments of Importance for State Security approved the takeover request. Romanian Minister of Transport and Infrastructure Ciprian \u0218erban described the move as a decision of major regional relevance, noting that Romania is taking an active role in the development of strategic infrastructure in its vicinity. The official stressed that the integration of the two ports will streamline trade flows, support the reconstruction of Ukraine through alternative routes and accelerate the integration of the Republic of Moldova into the European transport network (TEN-T), through investments in modernization and digitalization similar to those implemented in Constanta.   <\/p>\n<p>The Port of Giurgiulesti, the only sea-river port of the Republic of Moldova, is a strategic hub handling more than 70% of the country&#8217;s foreign waterborne trade, allowing access to vessels with a draught of up to 7 meters and a capacity of 10,000 tons. Moldovan Deputy Prime Minister Eugeniu Osmochescu, Minister of Economic Development and Digitalization, clarified that the transaction is strictly aimed at the Giurgiulesti International Freeport (owned by the EBRD through Danube Logistics) and does not include the State Port, which remains in the ownership of the Republic of Moldova and will not be divested.
